Terms of Service

These Terms of Service govern the provision of logistics services by Polixnov Logistics sp. z o.o., ul. Kowalska 5/203, 20-115 Lublin, Poland. By using our services you accept these terms.

1. Definitions

  • "Service Provider" — Polixnov Logistics sp. z o.o., ul. Kowalska 5/203, 20-115 Lublin, Poland.
  • "Client" — a legal entity or sole trader that has entered into a service agreement with the Service Provider.
  • "Services" — contract packaging, contract warehousing, land transport, and third-party logistics (3PL).
  • "Agreement" — the written contract concluded between the Parties setting out the specific terms of cooperation.

2. Scope of Services

  • Contract Packaging — material selection, assembly, labelling, and quality control of the Client's products.
  • Contract Warehousing — receipt, storage, and dispatch of goods at the Service Provider's facilities.
  • Land Transport — carriage of goods within Poland and the EU using own or sub-contracted vehicles.
  • Third-Party Logistics (3PL) — full supply-chain management under an individual service agreement.

3. Conclusion of Agreements and Orders

  • Services are rendered on the basis of individual agreements concluded in written or electronic form.
  • One-off orders are processed based on a written purchase order sent to info@polixnov.com.
  • The Service Provider confirms receipt of an order within 2 business days.
  • Amendments to orders require written confirmation from both Parties.

4. Fees and Payment

  • Fees for services are set out in the individual agreement or price list provided to the Client.
  • VAT invoices are issued according to the schedule specified in the agreement, by default after the service is rendered.
  • Payment terms are 14 days from the invoice date unless the agreement states otherwise.
  • Late payment interest is charged in accordance with Polish statutory rates for commercial transactions.
  • The Service Provider reserves the right to suspend services if payments are overdue by more than 30 days.

5. Client Obligations

  • The Client must provide complete and accurate information required for the provision of services.
  • The Client is responsible for the correct labelling and packaging of goods entrusted to the Service Provider, unless this is the subject of the agreement.
  • The Client agrees to settle all due payments on time.
  • The Client must inform the Service Provider of any properties of the goods that may pose a risk to persons or property.

6. Liability

  • The Service Provider is liable for damage to goods caused by its fault or gross negligence.
  • Liability for loss or damage to goods is limited to the value stated in the transport or warehouse documents.
  • The Service Provider is not liable for damage arising from: force majeure, inherent properties of the goods, improper packaging by the Client, or Client instructions.
  • Road transport is governed by the CMR Convention.

7. Environmental Responsibility

  • Polixnov Logistics uses eco-friendly packaging materials and aims to minimise waste in packaging operations.
  • Transport routes are optimised to reduce CO₂ emissions.
  • Carbon footprint reports for shipments are available upon request.

8. Termination

  • Open-ended agreements may be terminated by either Party with 30 days' written notice.
  • The Service Provider may terminate the agreement with immediate effect in the event of a material breach by the Client.
  • After termination, the Service Provider will release the Client's goods within a timeframe agreed by the Parties.

9. Governing Law and Dispute Resolution

These Terms are governed by Polish law. All disputes shall be resolved by the court with jurisdiction over the Service Provider's registered office in Lublin. The Parties agree to attempt an amicable resolution of any dispute before commencing legal proceedings.
